The Companies Act 2006: What is it and what does it mean?
Today, all company registration matters are dealt with in law, by the Companies Act 2006. All limited companies in England, Scotland, Wales and Northern Ireland are registered at Companies House, which currently holds the details of more than three million companies. These limited companies must file certain documents with Companies House when they are first set up and on an ongoing (normally annual) basis. This information includes accounts, annual returns and a selection of company reports.
The 2006 Act is an updated version of the Companies Act 1985; several key changes [were introduced for both commercial and private companies. You can view a copy of the Companies Act 2006 at legislation.gov.uk.
What are Director's responsibilities?
All directors have a number of obligations and legal responsibilities. For example, directors are responsible for the company’s annual accounts and returns, and they need to ensure the company’s details are kept up to date, and submit all company information on a publicly accessible register.
Companies that deliver accounts late will receive a late filing penalty, which will be displayed on their public record. This ensures that the information held by Companies House is up to date.
